Terms of Service
Effective Date: October 2, 2026
These Terms of Service ("Terms") govern your access to and use of the AsapBoox website, software, and related services available through www.asapboox.com (collectively, the "Service").
AsapBoox is operated as a sole proprietorship based in Orange County, California.
By creating an account, purchasing a subscription, or using the Service, you agree to these Terms.
If you do not agree to these Terms, do not use the Service.
1. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use AsapBoox.
By using the Service, you represent that you satisfy these requirements.
2. The AsapBoox Service
AsapBoox is bookkeeping software designed to help users record, classify, organize, and review financial transactions without requiring users to manually prepare traditional accounting entries.
Depending on the features available to your account and plan, AsapBoox may allow you to record or classify:
- Income
- Expenses
- Assets
- Liabilities
- Equity
- Cash transactions
- Other bookkeeping transactions
The Service may use this information to produce or organize bookkeeping records and reports including:
- Profit and loss statements
- Balance sheets
- Statements of cash flows
- Statements of equity
- General ledgers
- Other bookkeeping reports
Users may enter transactions individually or upload supported CSV or spreadsheet files containing transaction information.
AsapBoox offers both Free and Paid plans. Features, functionality, usage limits, and availability may differ between plans.
3. AsapBoox Is Software, Not Professional Advice
AsapBoox is a software product.
AsapBoox is not an accounting firm, CPA firm, tax-preparation service, financial advisory firm, investment adviser, law firm, or other professional advisory service.
Use of AsapBoox does not create an accountant-client, CPA-client, tax professional-client, attorney-client, fiduciary, or financial advisory relationship.
Information, classifications, calculations, financial statements, reports, and other outputs produced through the Service are provided as bookkeeping tools and should not be treated as professional accounting, tax, financial, investment, or legal advice.
You should consult an appropriately qualified professional regarding matters requiring professional advice.
4. User Responsibility for Accounting Records
You are responsible for the accuracy, completeness, and appropriateness of information entered into or uploaded to AsapBoox.
You are responsible for reviewing your:
- Transactions
- Account classifications
- Income and expense classifications
- Asset, liability, and equity classifications
- Financial statements
- General ledger
- Other reports and calculations
Software can contain errors, and user input may be incomplete, inaccurate, duplicated, improperly classified, or otherwise incorrect.
Changes you make to transactions or other data within AsapBoox may affect balances, reports, financial statements, and other accounting information.
You are responsible for reviewing the effects of those changes and correcting errors before relying upon your AsapBoox records.
5. Taxes and Regulatory Filings
AsapBoox does not prepare or file tax returns.
You remain responsible for determining the appropriate tax treatment of transactions and for preparing, reviewing, submitting, and paying all applicable taxes, returns, filings, reports, and government obligations.
The appearance of a transaction, classification, financial statement, or report within AsapBoox does not establish that the information has been treated correctly for tax, accounting, regulatory, lending, or other purposes.
6. Accounts and Account Security
You may be required to create an account to use the Service.
You agree to provide accurate information and maintain the security of your login credentials.
You are responsible for activity occurring through your account except to the extent caused by AsapBoox's breach of applicable legal obligations.
You must promptly notify AsapBoox if you believe your account or credentials have been compromised.
You may not share credentials or create or use accounts in a manner designed to circumvent plan limits, subscription requirements, security controls, or other restrictions of the Service.
7. Free Plan
AsapBoox offers a Free plan that does not require payment information and does not automatically convert into a Paid plan.
A Free plan user will not be charged for a Paid subscription unless the user affirmatively selects a Paid plan and authorizes the applicable payment.
The Free plan provides access to AsapBoox's core bookkeeping functionality, subject to applicable usage limits and feature restrictions.
Certain additional or enhanced functionality, including increased transaction capacity and certain accounts payable, accounts receivable, or other detailed features, may be available only through a Paid plan.
Free Plan Transaction Limit
The Free plan permits a maximum of 1,000 transactions for each bookkeeping month represented in the Service.
The transaction limit is determined by the date assigned to each transaction and is not based on the calendar month in which the user enters, uploads, or uses the transaction.
For example, a Free plan account may contain up to:
- 1,000 transactions dated in January 2026;
- 1,000 transactions dated in February 2026;
- 1,000 transactions dated in March 2026; and
- the applicable limit for each other bookkeeping month.
The transaction allowance does not reset based on the passage of a real-world calendar month.
For example, entering 1,000 transactions dated January 2026 does not permit a user to enter an additional 1,000 January 2026 transactions merely because the current calendar month has changed.
AsapBoox may prevent additional transactions from being entered or uploaded into a bookkeeping month once the applicable Free plan limit has been reached.
8. Circumvention of Free Plan Limits
Users may not create, maintain, or use multiple accounts for the purpose of circumventing Free plan transaction limits, feature restrictions, subscription requirements, or other usage limitations.
AsapBoox may restrict, suspend, or terminate accounts reasonably determined to be used primarily to circumvent these limitations.
9. Free Plan Support
Support for Free plan users may be limited.
AsapBoox does not guarantee any particular response time, availability, or level of individualized support for Free plan accounts.
10. Paid Plans
Users may voluntarily upgrade from the Free plan to a Paid plan.
The price, features, transaction limits, and other applicable characteristics of a Paid plan will be displayed through the Service or during checkout.
When you select a Paid plan, you will be charged the applicable subscription price upon completing the purchase unless otherwise stated at checkout.
Your paid subscription period begins when your payment is successfully processed.
Paid plans may provide increased transaction limits and additional functionality, including features not available through the Free plan.
11. Automatic Renewal
Paid AsapBoox subscriptions are offered on a monthly recurring basis unless otherwise stated at checkout.
The applicable subscription price will be displayed before you complete your purchase.
By purchasing a Paid plan, you authorize AsapBoox and its payment processor to charge the applicable subscription fee and any applicable taxes using your selected payment method.
Unless you cancel, your Paid subscription will automatically renew on a monthly basis and your payment method will be charged the applicable subscription price.
A Free plan does not automatically convert to a Paid plan.
AsapBoox will disclose applicable automatic-renewal terms and obtain authorization as required by applicable law.
12. Cancellation of Paid Subscriptions
You may cancel your Paid subscription at any time.
Users who subscribe online will be provided with an online method to cancel their subscription.
Cancellation prevents future automatic subscription renewals.
Unless otherwise required by applicable law, cancellation does not immediately terminate Paid plan access. You will retain access to your Paid plan through the end of the billing period for which you have already paid.
At the end of that billing period, your account will downgrade to the Free plan unless you delete your account or otherwise select an available alternative.
Nothing in these Terms limits any cancellation right provided by applicable law.
13. Downgrading From Paid to Free
Downgrading from a Paid plan to the Free plan may materially affect your stored bookkeeping information.
Paid plans may permit transaction volumes, data, or functionality that exceed the limits of the Free plan.
Before your Paid plan ends, you are responsible for downloading, exporting, or otherwise preserving any accounting or business data that you wish to retain and that may exceed the limits or functionality of the Free plan.
When your Paid subscription ends and your account is downgraded to the Free plan, data that exceeds Free plan limits may be deleted, removed, restricted, or otherwise become unavailable.
This may include transactions or information associated with Paid-only features.
Effect on Your Books
Removal or loss of data resulting from a downgrade may change your bookkeeping records.
For example, removing transactions or Paid-only data may affect:
- Account balances
- Income
- Expenses
- Assets
- Liabilities
- Equity
- Profit and loss statements
- Balance sheets
- Statements of cash flows
- Statements of equity
- General ledgers
- Other reports and calculations
AsapBoox is software. You are responsible for understanding the consequences of changing, removing, or losing accounting data associated with a downgrade.
AsapBoox will provide a notice regarding potential data loss associated with downgrading where applicable.
You are responsible for reviewing that notice and exporting or downloading information you wish to preserve before your Paid access expires.
Where the Service requires you to acknowledge a downgrade warning, completing the downgrade confirms that you understand that the downgrade may result in data loss and changes to your bookkeeping records.
14. Refund Policy
Your first monthly Paid subscription payment is eligible for a refund if you request the refund during your first Paid subscription month.
Using the Free plan before purchasing a Paid subscription does not eliminate this first-month refund eligibility.
Beginning with your second monthly Paid subscription payment, subscription charges are non-refundable except where a refund is required by applicable law.
You may still cancel your subscription at any time after the first month. Cancellation prevents future renewal charges but does not, by itself, create a right to a refund of a renewal payment that has already been charged.
Refund requests may be submitted to:
ra@asapboox.com
Nothing in this Refund Policy limits any refund, cancellation, or consumer right that cannot legally be waived.
15. Payment Processing
Payments are processed through Stripe or another payment processor identified during checkout.
Your use of payment-processing services may also be subject to the payment processor's applicable terms and privacy practices.
AsapBoox does not intend to directly store complete payment-card numbers or card security codes.
You agree to provide valid payment information and authorize applicable charges associated with your Paid subscription.
16. User Data and Ownership
You retain ownership of the financial, accounting, business, and other data you enter into or upload to AsapBoox.
You grant AsapBoox a limited right to host, store, reproduce, process, transmit, and otherwise use that information as reasonably necessary to operate, secure, maintain, and provide the Service.
This permission does not transfer ownership of your accounting data to AsapBoox.
You are responsible for ensuring that you have the legal right to upload or otherwise provide information submitted through your account.
17. AsapBoox Intellectual Property
AsapBoox and its licensors retain all rights, title, and interest in the Service and its associated intellectual property, including, as applicable:
- Software
- Source code and object code
- Website content
- User interfaces
- Designs
- Branding
- Logos
- Documentation
- Templates
- Features
- Systems
- Methods
- Proprietary report formats
- Other materials created by or for AsapBoox
Except for the limited right to use the Service under these Terms, no ownership rights in AsapBoox intellectual property are transferred to you.
18. Acceptable Use
You may not use AsapBoox to:
- Violate applicable laws or regulations
- Commit or facilitate fraud

- Introduce malware, malicious code, or other harmful technology
- Circumvent security or access controls
- Circumvent Free or Paid plan limits
- Create multiple accounts to avoid usage restrictions

- Share accounts for the purpose of avoiding subscription or usage requirements
- Use the Service to infringe another person's rights
- Misrepresent your identity or authority
- Use AsapBoox for illegal or fraudulent financial activity
We may investigate suspected violations and take reasonable action to protect the Service and its users.
19. Suspension and Termination
AsapBoox may suspend or terminate access to the Service where reasonably necessary because of:
- A material violation of these Terms
- Fraudulent or unlawful activity
- Security threats
- Unauthorized use
- Circumvention of plan limits
- Failure to pay applicable subscription charges
- Abuse of the Service
- Conduct that materially threatens AsapBoox, its infrastructure, service providers, or users
- A legal or regulatory requirement
Where reasonable under the circumstances, AsapBoox may provide notice or an opportunity to correct a violation before termination.
Nothing in this section prevents immediate action where reasonably necessary to address fraud, security threats, unlawful conduct, or similar urgent risks.
20. Account Deletion
Both Free and Paid users may delete their AsapBoox accounts.
Deleting an account is different from merely downgrading from a Paid plan to the Free plan.
If you have an active Paid subscription, you should cancel that subscription before deleting your account to ensure future billing is stopped.
Following account deletion, AsapBoox will delete the user's accounting data and other account data from active systems, subject to reasonable technical processing time.
AsapBoox may retain limited information where required or permitted by applicable law, including information reasonably necessary for legal compliance, payment records, refunds, chargebacks, fraud prevention, security, dispute resolution, enforcement of agreements, or legal claims.
Certain information may remain temporarily in secure backups until overwritten or deleted through ordinary backup-retention processes.
Additional information regarding data deletion is provided in the AsapBoox Privacy Policy.
21. Service Availability
AsapBoox seeks to provide a reliable Service, but continuous or uninterrupted availability is not guaranteed.
The Service may occasionally be unavailable because of:
- Maintenance
- Software updates
- Infrastructure problems
- Internet outages
- Third-party service failures
- Security incidents
- Events outside AsapBoox's reasonable control
AsapBoox may modify, update, or discontinue features as the Service develops, subject to applicable law.
22. Third-Party Services
AsapBoox relies on third-party providers for certain functionality, including hosting, databases, authentication, payment processing, and communications.
Third-party services may experience interruptions, errors, security incidents, or changes outside AsapBoox's control.
To the extent permitted by law, AsapBoox is not responsible for failures caused solely by third-party services outside AsapBoox's reasonable control.
23. No Guarantee of Accounting Results
AsapBoox does not guarantee that:
- Transactions will always be classified correctly
- User-entered information is accurate
- Financial statements will be free from errors
- Records satisfy the requirements of a particular lender, investor, government agency, tax authority, CPA, or other third party
- Use of the Service will produce any particular financial, tax, or business result
You remain responsible for reviewing information before relying upon it.
24. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE, INCLUDING BOTH FREE AND PAID PLANS, IS PROVIDED "AS IS" AND "AS AVAILABLE."
ASAPBOOX DISCLAIMS WARRANTIES TO THE EXTENT PERMITTED BY LAW, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
ASAPBOOX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR SUITABLE FOR EVERY ACCOUNTING, TAX, BUSINESS, OR REGULATORY PURPOSE.
Nothing in these Terms excludes warranties or consumer protections that cannot legally be excluded.
25. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ASAPBOOX WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE, INCLUDING LOST PROFITS, LOST BUSINESS OPPORTUNITIES, LOSS OF DATA, OR CHANGES TO ACCOUNTING RECORDS, EXCEPT WHERE SUCH LIMITATION IS PROHIBITED BY LAW.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ASAPBOOX'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO ASAPBOOX FOR THE SERVICE DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
For users who have paid no fees to AsapBoox during that period, applicable limitations will apply only to the maximum extent permitted by law.
Nothing in these Terms limits liability that cannot legally be limited or excluded.
26. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless AsapBoox from third-party claims, damages, liabilities, costs, and reasonable expenses arising from your unlawful use of the Service, your material violation of these Terms, or your infringement of another person's rights.
This provision does not require you to indemnify AsapBoox for conduct for which indemnification cannot lawfully be required.
27. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except to the extent applicable federal law controls or applicable law provides you with non-waivable rights.
28. Venue
Subject to any non-waivable rights or jurisdictional requirements under applicable law, legal proceedings arising from or relating to these Terms or the Service will be brought in an appropriate state or federal court located in Orange County, California.
These Terms do not currently require binding arbitration and do not contain a class-action waiver.
29. Changes to These Terms
AsapBoox may update these Terms from time to time.
If a change materially affects your rights or obligations, AsapBoox will provide notice as required by applicable law.
Changes will not be applied retroactively where doing so would violate applicable law.
Continued use of the Service after updated Terms become effective constitutes acceptance to the extent permitted by law.
30. Electronic Communications
By creating an account, you agree that AsapBoox may send you electronic communications reasonably related to your account, subscription, payments, security, legal notices, downgrade warnings, data-loss warnings, and operation of the Service.
This does not constitute consent to receive marketing communications where separate consent is required by law.
31. Entire Agreement
These Terms, together with the AsapBoox Privacy Policy and any additional terms expressly presented to you when purchasing or using a particular feature, constitute the agreement between you and AsapBoox concerning the Service.
If any provision is found unenforceable, the remaining provisions will remain in effect to the extent permitted by law.
